From filing to lockup expiry
Four stages sit between a private company and a freely traded float. Knowing which one a name is in tells you what the calendar entry actually means.
Filing
The S-1 goes in
The issuer files a registration statement with the SEC — often confidentially first, then publicly. Amendments follow until the SEC clears its comments and an indicative price range is added.
Roadshow
The book gets built
Management and the underwriting syndicate market the deal to institutions for roughly a week. Demand is collected as indications of interest, and a hot book can push the range higher before pricing.
Pricing
One number, the night before
The syndicate and the issuer agree a final offer price, then allocate shares to the book. Trading opens the next morning at whatever the opening auction clears — which is frequently well away from the offer.
Lockup
Supply arrives later
Insiders and pre-IPO holders are typically restricted from selling for 90 to 180 days. Expiry releases a large block of stock into the float, so it is a date worth having on the calendar.
Reading the range
The indicative range in a preliminary prospectus is a marketing device, not a valuation. Underwriters set it low enough to build a book and revise it once demand is visible. A deal that prices above its range filled easily; one that prices below it, or cuts the share count, did not — and that information usually matters more than the first day of trading.
Offer price is not opening price
Allocated investors buy at the offer price. Everyone else buys at whatever the opening auction clears the following morning, which can sit far above it. A large first-day pop is a transfer of value from the issuer to the allocated book, not evidence that the business is worth more than it was the night before.
Why deals get pulled
A withdrawn listing is rarely about the company alone. Volatility spikes, a weak comparable trading badly, or a book that will only fill below the range are enough for an issuer to postpone and refile later. Both withdrawals in this window are shown rather than hidden, because a thinning pipeline is itself a market signal.
